You retain full ownership of all content you create, upload, or input into Indepagent, including project data, documents, client information, and designs ("Your Content").
By submitting Your Content to the Service, you grant us a limited, non-exclusive, worldwide license to store, process, and display Your Content solely as necessary to provide and improve the Service for you. We do not claim ownership of Your Content and will not use it for any other purpose.
You are solely responsible for Your Content and represent that:
The Service includes AI-powered features such as project recommendations and meeting summaries. You acknowledge that:
The Service integrates with third-party platforms including Google Drive, Google Calendar, and WhatsApp. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or policies of third-party services.
By connecting a third-party integration, you authorize us to access and use data from that service in accordance with our Privacy Policy.
The Indepagent platform, including its software, design, trademarks, and all content created by us (excluding Your Content), is our exclusive intellectual property protected by applicable copyright, trademark, and other laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written permission.
If the Service includes paid plans or features, the following applies:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
You agree to indemnify, defend, and hold harmless Indepagent and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
You may stop using the Service and delete your account at any time via the app settings.
We may suspend or terminate your access immediately if you breach these Terms or if we determine that your use poses a security risk or legal liability. Upon termination, your right to access the Service ends. We will handle your data as described in our Privacy Policy.
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration or a competent court as mutually agreed.
We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent in-app notice at least 14 days before the change takes effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms. If you disagree with the changes, you may terminate your account before the effective date.
